1 Acceptance of Terms

By purchasing, downloading, installing, or using the FuiSQL VS Code extension or any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2 Description of Service

FuiSQL ("we", "us", or "our") provides a Visual Studio Code extension that enables users to query Oracle Cloud ERP (Fusion) data directly from their IDE. The Service includes:

• The FuiSQL VS Code extension
• License key issuance and management
• Email delivery of license keys
• Online license validation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3 License Grant & Restrictions

Upon successful payment (or activation of a free trial), we grant you a limited, non-exclusive, non-transferable, revocable license to use the FuiSQL extension on a single machine for the duration of your subscription plan.

You may not:

• Copy, redistribute, resell, sublicense, or share your license key with any third party
• Use one license key on more than one machine simultaneously
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the extension
• Remove or alter any proprietary notices, labels, or marks on the extension
• Use the extension for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to circumvent, disable, or tamper with the license verification system

4 Plans, Pricing & Payment

FuiSQL is available under the following subscription plans:

• Monthly — $1 / month
• 6-Month — $5 (one-time payment for 6 months)
• Yearly — $10 / year

All prices are in US Dollars (USD) and are exclusive of any applicable taxes. Payments are processed securely by Lemon Squeezy. By completing a purchase you also agree to Lemon Squeezy's terms of service.

Subscription plans are not auto-renewed unless explicitly stated at checkout. You will receive a license key by email that is valid for the purchased duration.

We reserve the right to change pricing at any time. Price changes will not affect active license keys that have already been issued.

5 Free Trial

Trial license keys are issued automatically and are subject to the same machine-binding rules as paid licenses. We reserve the right to revoke trial keys that are found to be abused (e.g., multiple trials claimed using different email addresses on the same machine).

6 Refund Policy

We want you to be satisfied with FuiSQL. If the extension does not work as described on our website, please contact us at [email protected] within 7 days of purchase and we will do our best to resolve the issue or issue a refund.

Refunds may be declined in the following circumstances:

• The request is made more than 7 days after the original purchase date
• The license key has been shared or used on multiple machines in violation of these Terms
• The issue is caused by your own Oracle Cloud ERP environment configuration
• A coupon discount of more than 50% was applied at the time of purchase

All refund decisions are made at our sole discretion.

7 License Keys & Machine Binding

Each license key is cryptographically signed and bound to the machine ID of the device on which it is activated. Attempting to use the same key on a different machine will result in validation failure.

If you replace your machine (e.g., due to hardware failure or a new computer), please contact us at [email protected] to have your key re-issued for the new machine. We allow one re-issue per license key per 12-month period.

License keys are delivered by email. We are not responsible for keys lost due to incorrect email addresses provided at checkout.

8 Prohibited Use

You agree not to use the Service to:

• Access or query Oracle Cloud ERP systems without proper authorisation from the system owner
• Extract, scrape, or exfiltrate confidential or proprietary data in violation of your employer's or client's policies
• Violate any applicable local, national, or international law or regulation
• Probe, scan, or test the vulnerability of any system connected through the extension
• Attempt to gain unauthorised access to any service, account, or system

Violation of this section may result in immediate revocation of your license without refund and may be reported to the relevant authorities.

9 Intellectual Property

The FuiSQL extension, including all code, design, branding, and documentation, is the exclusive intellectual property of FuiSQL and its licensors. All rights not expressly granted in these Terms are reserved.

"FuiSQL" and associated logos are trademarks of FuiSQL. You may not use our trademarks without prior written permission.

Nothing in these Terms transfers any intellectual property rights to you. Your only right is the limited license described in Section 3.

10 Privacy & Data

When you purchase or activate a license, we collect and store:

• Your email address — used to deliver your license key and for support
• Your machine ID — a non-reversible hardware identifier used solely for license binding and validation
• License validation logs — timestamps and validation results from the VS Code extension, used to detect abuse

We do not collect, transmit, or store any Oracle Cloud ERP credentials, query contents, or business data. All queries run locally within VS Code on your machine.

We do not sell or share your personal data with third parties, except as required to process your payment (Lemon Squeezy) or deliver email (Resend).

You may request deletion of your account data by emailing [email protected]. Deletion of your data will revoke any active license keys associated with your account.

11 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any results obtained from use of the Service will be accurate or reliable
• The Service will be compatible with all versions of VS Code or all Oracle Cloud ERP configurations

Your use of the Service is entirely at your own risk.

12 Limitation of Liability

To the maximum extent permitted by applicable law, FuiSQL and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total liability to you exceed the amount you paid for the Service in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so the above limitation may not apply to you.

13 Termination

We may suspend or revoke your license at any time, with or without notice, if we determine (in our sole discretion) that you have violated these Terms.

Upon termination:

• Your license key will be revoked and the extension will no longer validate
• No refund will be issued if termination is due to a breach of these Terms
• Sections 9 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), and 15 (Governing Law) survive termination

You may terminate your use of the Service at any time by simply ceasing to use the extension. No cancellation action is required as subscriptions are not auto-renewed.

14 Changes to Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify active customers by email.

Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

15 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration or the courts of competent jurisdiction.
